Code of Conduct

1. COMPLIANCE WITH LAWS

Supplier shall at all times operate in full compliance with all applicable laws, rules and regulations (collectively “Laws”).

2. WORKER HEALTH AND SAFETY

The safety of the public, employees and suppliers is Function of beauty’s highest priority. Function of Beauty requires that all workers be provided with a safe and healthy working environment.
  1. A. Workers have the right to refuse and report unsafe or unhealthy working conditions regardless of role, title or responsibility if all of the following conditions are met:
    1. a. Employer was informed to eliminate the danger, and the employer failed to do so; and
    2. b. Refused to work in "good faith." This means that a worker must genuinely believe that an imminent danger exists; and
    3. c. A reasonable person would agree that there is a real danger of death or serious injury; and
    4. d. There isn't enough time, due to the urgency of the hazard, to get it corrected through regular enforcement channels, such as requesting an OSHA inspection
  2. B. Workers are trained on the appropriate occupational health and safety policies and procedures, including emergency evacuation procedures, prior to employment and then on a regular basis in the primary language(s) of its workers.
  3. C. Workers are provided appropriate protective equipment and instructed on appropriate use.
  4. D. Potable drinking water is provided to all workers as well as adequate and clean sanitation facilities for male and female workers
  5. E. Unreasonable limitations to workers’ access to toilets, rest or lactation breaks are prohibited.
  6. F. If applicable, dormitories are clean, well maintained, provide reasonable entry and exit privileges for workers and in compliance with safety regulations.
  7. G. Suppliers shall identify potential emergency situations and events associated with the work or location of the work to be carried out for or on behalf of Function of beauty and minimize potential impacts by implementing the following emergency plans and response procedures, where applicable: response equipment and PPE, emergency response reporting, workforce/public notification and evacuation procedures, emergency response training and drills, appropriate fire/emergency detection and suppression equipment, adequate exit or escape paths and recovery plans.
  8. H. Weapons shall not be brought onto, carried, stored or used on Function of beauty, leased or rented property, or in a Function of Beauty-owned, leased or rented vehicle, in a personal vehicle while on Function of Beauty business, or at a job site, whether performing Function of Beauty work or not. A “weapon” is a firearm, ammunition, explosive, or any other device or object that could be construed as a weapon. Weapons do not include tools that are used for legitimate business purposes.

3. LABOR

Supplier shall uphold the human rights of workers and treat them with dignity and respect.
  1. A. Supplier shall only employ or engage workers who meet the applicable minimum legal age requirement, except that in no event shall Supplier employ any person under the age of 16, even if local Laws permit otherwise. Notwithstanding the foregoing, Supplier may allow individuals aged 15 or older to work as part of a bona fide apprentice program. Such an apprentice program must be approved under local Laws and be intended to provide instruction in one or more particular industrial disciplines as part of enrollment in an educational institution.
  2. B. Supplier shall not use or engage in any indentured or forced labor, slavery or servitude, human trafficking or compulsory labor.
  3. C. Supplier shall set working hours, wages and overtime pay in compliance with all applicable Laws. Workers shall be paid at least the minimum legal wage or a wage that meets local industry standards, whichever is greater.
  4. D. Supplier shall respect employees’ right to join or not join any lawful organization, including but not limited to trade unions and works councils, and shall comply with all applicable Laws pertaining to freedom of association and collective bargaining.
  5. E. Any form of unauthorized subcontracting of work is prohibited.

4. NON-DISCRIMINATION

Function of Beauty does not tolerate any form of discrimination in the workplace. We are committed to diversity and inclusion in the work environment.
  1. A. Discrimination in the workplace that is based on the grounds of an individual’s race; color; gender; age; national origin; religion; citizenship status; political opinion; marital status; sexual orientation; protected union activity; gender identity; transgender status; physical or mental disability; protected veteran status; genetic information; pregnancy (including childbirth and related medical conditions, including medical conditions related to lactation); or other categories protected by applicable federal, state or local law goes against Function of beauty’s values and is strictly prohibited.
  2. B. Hiring and employment decisions, including those relating to compensation, benefits, promotion, training and development, discipline, and termination are based solely on the worker’s skill, ability, experience and performance.

5. ANTI-CORRUPTION

Function of Beauty is committed to complying with all anti-corruption Laws in accordance with The Foreign Corrupt Practices Act and UK Bribery Act that prohibit bribes, kickbacks, or other corrupt actions to obtain or retain business or obtain any improper advantage.
  1. A. No Bribes or Kickbacks. Supplier shall not directly or indirectly solicit, receive or offer any form of bribe, kickback, or other corrupt payment, to or from any person or organization, including but not limited to government agencies or officials, companies or Personnel of those companies.
  2. B. Gifts and Entertainment. When doing business with or conducting business on behalf of Function of Beauty, Supplier may, for legitimate business purposes: (i) offer gifts or entertainment to suppliers, customers or other business associates; or (ii) accept gifts or entertainment offered by suppliers, customers or other business associates; provided, however, that in each instance the gift or entertainment:
    1. a. is unsolicited;
    2. b. is not illegal or in violation of this Code;
    3. c. is not a bribe, kickback or other illicit payment;
    4. d. is not given in exchange for any consideration
    5. e. would not embarrass Function of Beauty if disclosed publicly;
    6. f. does not create the appearance (or an actual or implied obligation) that the gift giver is entitled to preferential treatment, an award of business, better prices or improved terms of sale.

6. HARASSMENT

Function of Beauty does not tolerate any form of disparate treatment in the workplace.
  1. A. All workers will be treated with dignity and respect and will not be subject to any form of unethical treatment, threats of violence, or other forms of physical, mental, or sexual harassment. This includes behavior, comments, jokes, slurs, email messages, pictures, photographs, or other conduct that contributes to an intimidating or offensive environment such as bullying, initiation activities, or workplace hazing regardless of the other person’s willingness to participate.
  2. B. Acts or threats of physical violence, intimidation, harassment or coercion, stalking, sabotage, or similar activities shall not be tolerated by supplier. Engaging in acts or threats of violence will result in termination of the offending worker and may result in termination of supplier’s assignment with Function of beauty.
  3. C. Disciplinary policies and procedures in support of these requirements are clearly defined and communicated to all workers.

7. ENVIRONMENTAL MANAGEMENT AND MONITORING SYSTEMS

Function of Beauty is committed to reducing our environmental impact across our supply chain and to supporting sustainable operational production practices. We work with our Suppliers who are critical partners in our efforts to responsibly and sustainably source our Raw material, packaging materials and other goods and services in a way that will help reduce our impact on air, land and water.
  1. A. Operations fully comply with all federal and local environmental laws and regulations including those related to waste disposal, hazardous waste, greenhouse gas emissions, wastewater and toxic substances.
  2. B. All required environmental permits (e.g. discharge and effluent monitoring records) are obtained, maintained and kept current and any operational, registration and reporting requirements shall be followed.
  3. C. Suppliers are encouraged to actively measure, manage and disclose environmental impacts in areas such as Greenhouse Gas (GHG) emissions, water and waste as well as to set targets and implement action plans for reducing environmental impacts. Public reporting on annual environmental performance is encouraged.
  4. D. Air emissions, wastewater and solid waste generated from operations are to be characterized, monitored, controlled and treated as required prior to discharge or disposal.

8. CONFIDENTIAL AND PROPRIETARY INFORMATION

Suppliers must protect Function of beauty’s confidential and proprietary information and act to prevent its misuse, theft, fraud, or improper disclosure. Suppliers must take all due care in handling, discussing, or transmitting confidential or proprietary information that could affect Function of beauty, its employees, its clients, the business community, or the general public. This includes trademarks, patents, copyrights, inventions, and other proprietary works. Supplier must only use such intellectual property for the purposes authorized in a contractual agreement.

9. CONFLICTS OF INTEREST

Suppliers are expected to report to Function of Beauty any situation that may appear as a conflict of interest, and disclose to Function of Beauty if any Function of Beauty associate or professional under contract with Function of Beauty may have an interest of any kind in supplier’s business or any kind of economic ties with the Supplier.

10. BUSINESS RECORDS

Supplier shall maintain accurate and complete business records on all matters related to supplier's business with Function of Beauty. Supplier shall provide such business records to Function of Beauty upon request.
